Matthew M. Greenberg is a Partner in the firm’s Business Law Group. He represents clients in a variety of areas including mergers and acquisitions, corporate finance and securities, Delaware corporate and alternate entity law and legal opinions.
He has represented a variety of public and private companies, equity sponsors, investment banks and other financial institutions in a wide range of industries.
In the area of mergers and acquisitions, Matt has represented clients in both public and private transactions, including mergers, sales and acquisitions of subsidiaries and divisions, joint ventures, recapitalizations, and asset sales in connection with bankruptcy proceedings.
With respect to securities transactions, he has counseled clients in public and private debt and equity securities offerings, exchange offers, consent solicitations and other securities transactions.
Matt also provides advice on Delaware corporate and alternative entity law, including providing legal opinions on matters of Delaware law and counseling clients on fiduciary duties and corporate governance.
Matt has served for a number of years on the Executive Committee of the Delaware State Bar Association. Matt is also a member of the Alternative Entity Subcommittee of the Delaware State Bar Association's Corporation Law Council which is responsible for drafting amendments to the Delaware statutes governing limited liability companies, limited partnerships and partnerships.
